Research Use Only Agreement

1. Purpose and Scope

This Research Use Only Agreement (the "Agreement") establishes the binding terms governing your purchase, possession, handling, and use of products supplied by Peptide Circle HQ LLC, a Wyoming limited liability company ("Peptide Circle HQ," "we," "us," or "our"). This Agreement is supplemental to and incorporated by reference into our Terms of Sale.

2. Research Use Only Classification

The products sold by Peptide Circle HQ are classified as Research Use Only (RUO) compounds. This means:

• The products are intended solely for in vitro research, laboratory experimentation, and scientific investigation;
• The products are not drugs, food, dietary supplements, cosmetics, or medical devices as defined under the Federal Food, Drug, and Cosmetic Act (FFDCA);
• The products are not approved or evaluated by the United States Food and Drug Administration (FDA) for any human or veterinary use;
• The products are not intended to diagnose, treat, cure, prevent, or mitigate any disease, ailment, or medical condition in humans or animals;
• The products have not been evaluated for safety or efficacy in humans or animals;
• The products are sold exclusively to qualified researchers, laboratory professionals, academic institutions, and authorized commercial purchasers for legitimate research purposes.

3. Purchaser Representations and Warranties

By purchasing any product, you ("Purchaser," "you," "your") represent, warrant, and covenant to Peptide Circle HQ that:

3.1 Age and Qualification

• You are at least twenty-one (21) years of age;
• You are a qualified researcher, laboratory professional, academic professional, or authorized purchaser acting in a professional research capacity;
• You possess the requisite knowledge and expertise to safely handle the products in accordance with appropriate laboratory standards.

3.2 Intended Use

• You will use the products exclusively for lawful research, laboratory, academic, or institutional purposes;
• You will not administer, inject, ingest, apply to, or otherwise introduce the products into the body of any human being or animal under any circumstances;
• You will not use, recommend, or represent the products for any therapeutic, cosmetic, performance-enhancing, weight-loss, recovery, anti-aging, longevity, or wellness purpose;
• You will not use the products in clinical trials involving human subjects without separate regulatory approval;
• You will handle, store, and dispose of the products in accordance with all applicable laws, regulations, and best laboratory practices.

3.3 Resale and Redistribution

• You will not resell, redistribute, repackage, or otherwise transfer the products for human or veterinary consumption;
• If you transfer any product to a third party for legitimate research purposes, you will require that third party to agree to all terms of this Agreement;
• You will not remove, alter, or obscure any labels, warnings, or RUO designations affixed to the products.

3.4 Compliance

• You accept full and exclusive responsibility for ensuring compliance with all federal, state, local, and international laws, regulations, and ordinances applicable to your purchase, possession, handling, transport, and use of the products;
• You acknowledge that some products may be subject to specific federal, state, or local restrictions or licensing requirements in certain jurisdictions, and you accept responsibility for verifying and complying with all such requirements;
• You will not import, export, or transport the products in violation of any law or regulation.

4. Acknowledgment of No Medical Advice

Peptide Circle HQ does not provide medical advice, dosing guidance, administration protocols, therapeutic recommendations, or any other information regarding human or animal use of the products. Any information provided on our website, in product documentation, or in any communication relates exclusively to chemical identity, purity, handling, storage, and research-related characteristics of the products.

You agree that you will not contact Peptide Circle HQ or its representatives seeking medical advice, dosing guidance, or human-use recommendations, and we will not provide any such information.

5. Assumption of Risk

You expressly assume all risk associated with your purchase, possession, handling, storage, and use of the products, including but not limited to:

• Risk of personal injury, illness, or death resulting from any contact with or use of the products;
• Risk of property damage resulting from the products;
• Risk of regulatory action, civil penalty, or criminal prosecution arising from misuse of the products;
• Risk of allergic reaction, sensitivity, or adverse response to the products or their components;
• Risk arising from cross-contamination, improper storage, or improper handling of the products.

6. Release of Liability

You hereby release, waive, discharge, and covenant not to sue Peptide Circle HQ LLC and its officers, members, employees, agents, affiliates, and successors (collectively, "Released Parties") from any and all liability, claims, demands, actions, causes of action, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your purchase, possession, handling, storage, transport, or use of any product;
• Any misuse of the products by you or by any third party to whom you transfer the products;
• Your breach of any representation, warranty, or covenant contained in this Agreement;
• Any personal injury, illness, death, property damage, regulatory action, or other harm arising from the products;
• Any third-party claim arising from your purchase or use of the products.

This Release applies to claims based in contract, tort (including negligence), strict liability, statute, or any other legal theory, and survives termination of any relationship between you and Peptide Circle HQ.

7. Indemnification

You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and litigation costs) arising out of or relating to:

• Your breach of any representation, warranty, covenant, or obligation under this Agreement;
• Your misuse of any product, including but not limited to use for human or veterinary consumption;
• Your violation of any law, regulation, or third-party right in connection with the products;
• Any claim by a third party arising from your transfer, resale, or redistribution of the products;
• Any personal injury, illness, death, or property damage caused by or arising from the products.

8. Reporting and Investigation Cooperation

If you become aware of any misuse, diversion, or adverse event involving the products, you agree to promptly notify Peptide Circle HQ at [email protected]. You further agree to cooperate with any regulatory investigation, audit, or legal proceeding relating to the products to the extent legally required.

9. No Warranty Regarding Research Suitability

Peptide Circle HQ makes no representation or warranty that any product is suitable for any particular research application. You acknowledge that you are solely responsible for determining the suitability of any product for your intended research purpose, including but not limited to verifying chemical identity, purity, and storage requirements through your own independent testing and validation.

10. Cosmetic Products Exception

Certain products sold by Peptide Circle HQ are expressly identified as cosmetic skincare products and are regulated under applicable FDA cosmetic guidelines rather than as RUO compounds. The provisions of this Agreement relating to RUO classification do not apply to such cosmetic products, except to the extent the principles of release of liability, assumption of risk, and indemnification herein remain applicable. Cosmetic products are intended for topical cosmetic use only and are not for injection, ingestion, or medical use.

11. Governing Law and Disputes

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved through binding individual arbitration in accordance with our Arbitration Agreement. You waive any right to participate in a class action lawsuit, class-wide arbitration, or jury trial.

12. Survival

The representations, warranties, indemnification obligations, release of liability, and assumption of risk provisions of this Agreement shall survive any termination of any relationship between you and Peptide Circle HQ.

13. Contact
