1. About These Terms

These Terms of Sale (the "Terms") govern your purchase and use of products sold through peptidecirclehq.net (the "Site") operated by Peptide Circle HQ LLC, a Wyoming limited liability company with principal place of business at 30 N Gould St, Ste N, Sheridan, WY 82801 ("Peptide Circle HQ," "we," "us," or "our"). By placing an order on this Site, you ("Purchaser," "you," "your") acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Research Use Only Acknowledgment

All products sold by Peptide Circle HQ LLC are supplied strictly for lawful laboratory, academic, and institutional research purposes only. These products are not drugs, food, dietary supplements, household products, or cosmetics (with the exception of products expressly identified as cosmetic skincare products). They are not approved by the U.S. Food and Drug Administration (FDA) for the prevention, treatment, mitigation, diagnosis, or cure of any disease, ailment, or medical condition.

By placing an order, you affirmatively represent and warrant the following:

• You are at least twenty-one (21) years of age;
• You are a qualified researcher, laboratory professional, or otherwise authorized purchaser acting in a professional research capacity;
• You will use the products purchased exclusively for lawful in vitro research, laboratory experimentation, or scientific investigation;
• You will not, under any circumstances, administer, inject, ingest, apply to, or otherwise introduce the products into the body of any human or animal;
• You will not resell, redistribute, or transfer the products for human or veterinary consumption;
• You accept full and exclusive responsibility for ensuring compliance with all federal, state, local, and international laws, regulations, and ordinances applicable to your purchase, possession, transport, and use of the products.

3. Eligibility to Purchase

This Site is intended for use solely by qualified researchers, laboratory professionals, academic institutions, and authorized commercial purchasers acting in a professional research capacity. By placing an order, you certify that:

• You meet all eligibility criteria set forth in Section 2 above;
• You are not purchasing on behalf of any individual under twenty-one (21) years of age;
• You have lawful authority to purchase and possess the products in your jurisdiction;
• All information you provide during the purchase process is true, accurate, and complete.

Peptide Circle HQ reserves the right, in its sole discretion, to refuse or cancel any order for any reason, including but not limited to suspected misrepresentation of purchaser qualifications or intended use.

4. Orders, Pricing, and Payment

Order Acceptance. Your order constitutes an offer to purchase. We reserve the right to accept or decline any order. Our acceptance occurs only upon shipment of the products to you. We may cancel any order at any time prior to shipment for any reason.

Pricing. All prices are listed in U.S. Dollars and are subject to change without notice. The price applicable to your order is the price listed on the Site at the time of order placement. We reserve the right to correct any pricing errors and may, in our discretion, cancel any order based on incorrect pricing.

Payment. Payment is due in full at the time of order placement. We accept the payment methods displayed on the Site at checkout. By submitting payment, you authorize us to charge your selected payment method for the full order total including any applicable taxes, shipping, and handling fees. You represent that you are authorized to use the payment method provided.

Taxes. You are responsible for any applicable sales tax, use tax, value-added tax, or other tax imposed on your purchase by any taxing authority.

5. Shipping, Delivery, and Risk of Loss

Shipping methods, fees, and estimated delivery times are described on the Site and at checkout. Title and risk of loss for all products pass to you upon our delivery of the products to the carrier. We are not responsible for shipping delays caused by carriers, weather, customs, or other factors outside our reasonable control.

It is your responsibility to ensure accurate shipping information at the time of order. We are not responsible for orders shipped to incorrect addresses provided by you.

6. No Returns, No Refunds - All Sales Final

Once an order is placed and payment has been processed, no refunds, returns, or exchanges will be issued. This policy is non-negotiable and applies to all products regardless of category.

Limited Exception - Defective or Damaged Products on Arrival. If a product arrives visibly damaged or defective upon delivery, you must contact us at [email protected] within seventy-two (72) hours of delivery with photographic evidence of the damage and your order number. We will, at our sole discretion, determine whether a replacement is warranted. This limited exception does not apply to products damaged after delivery, products opened by purchaser, products misused, or products handled outside of the storage conditions specified for the product.

7. Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, ALL PRODUCTS ARE PROVIDED "AS IS" AND "WITH ALL FAULTS." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PEPTIDE CIRCLE HQ LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Peptide Circle HQ makes no representation or warranty regarding the suitability of any product for any particular research purpose. Purchaser is solely responsible for determining whether a product is suitable for purchaser's intended research application.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEPTIDE CIRCLE HQ LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR PURCHASE, POSSESSION, OR USE OF ANY PRODUCT, EVEN IF PEPTIDE CIRCLE HQ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the maximum extent permitted by law, the aggregate liability of Peptide Circle HQ LLC arising out of or in connection with these Terms and any product sold hereunder shall not exceed the amount actually paid by you for the specific product giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Peptide Circle HQ LLC, its officers, members, employees, agents, and affiliates from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your purchase, possession, or use of any product; (b) your breach of any representation, warranty, or covenant set forth in these Terms; (c) your violation of any law, regulation, or third-party right; or (d) any misuse of the product including but not limited to administration to humans or animals in violation of these Terms.

10. Assumption of Risk and Release

You expressly assume all risk associated with your purchase, possession, handling, and use of the products. You release Peptide Circle HQ LLC and its officers, members, employees, agents, and affiliates from any and all liability for personal injury, property damage, regulatory action, or any other loss arising from your handling or use of the products.

11. Intellectual Property

All content on this Site, including text, graphics, logos, images, and product descriptions, is the property of Peptide Circle HQ LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Site content without our express prior written consent.

12. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. Subject to the Arbitration Agreement referenced below, any dispute arising out of or relating to these Terms or your purchase shall be subject to the exclusive jurisdiction and venue of the state or federal courts located in Sheridan County, Wyoming.

13. Arbitration and Class Action Waiver

Any dispute arising out of or relating to these Terms, the Site, or any product purchased hereunder shall be resolved through binding individual arbitration in accordance with the terms of our Arbitration Agreement, which is incorporated herein by reference. YOU AGREE THAT YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR JURY TRIAL.

14. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be deemed modified to the minimum extent necessary to be enforceable.

15. Entire Agreement

These Terms, together with the Research Use Only Agreement, Arbitration Agreement, Privacy Policy, and Shipping and Returns Policy, constitute the entire agreement between you and Peptide Circle HQ LLC regarding the subject matter herein and supersede all prior agreements and understandings.

16. Modifications

We reserve the right to modify these Terms at any time. Modifications will be effective upon posting to the Site. Your continued use of the Site or placement of any order following modifications constitutes acceptance of the modified Terms. The version of these Terms in effect at the time of your order shall govern that order.
